These Terms and Conditions constitute the End-User License Agreement (EULA) between you and StudyHQ Consultants LLP. By using our Website and Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
This document is an electronic record in terms of the Information Technology Act, 2000 and Rules made thereunder as applicable. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and user agreement of access or usage of a website. Here, website means www.studyhq.com and includes all related mobile and desktop applications, tools, and services operated by StudyHQ.
www.studyhq.com is a career discovery and guidance platform that helps students, parents, and institutions make informed career decisions through psychometric assessments, AI-assisted guidance, and expert counselling. The website is owned and operated by StudyHQ Consultants LLP. Before using our services or products, you should read this Agreement (hereinafter referred to as “EULA”) and agree to its terms and conditions. By browsing the website, you are deemed to have read and accepted this EULA.
These terms may be changed or updated from time to time solely at our discretion. By using our site, you will be bound by the terms and conditions mentioned in the EULA. You are required to and responsible for regularly reviewing the EULA to keep yourself updated with any amendments made from time to time. If you continue to access the website subsequent to such changes, you will be deemed to have accepted and agreed to the said changes.
The terms used in the present EULA have been defined hereunder:
The terms and conditions herein shall apply equally to both the singular and plural form of the terms. Whenever the context may require, any pronoun shall include both the corresponding masculine and feminine form. The terms as defined herein shall also read as such in the Privacy Policy as well as the Disclaimer of the Website.
Use of the Website is available to all persons, entities, companies, partnership firms, and educational institutions as the case may be. However, any registration on the website shall be by a person who is capable of entering into a valid contract as per the Indian Contract Act, 1872.
Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872, including minors and undischarged insolvents, are not eligible to use the Website except under the legal or constructive guardianship of persons capable of entering into a contract on behalf of such minor user.
Since our services primarily target students, including minors, we specifically require that any account creation or payment for services involving a minor must be made by a parent or legal guardian. By registering on behalf of a minor, you represent that you are the parent or legal guardian of the minor and have the authority to consent to this Agreement on their behalf.
While registering with the Website, you represent that the information filled by you is correct and that you are duly authorised to accept this agreement. You further confirm that you shall use or browse the Website in terms of the EULA.
StudyHQ reserves the right to terminate your registration and refuse to provide you with access to the Website if it is brought to our notice or if it is discovered that you are using the site in violation of the EULA or at its sole discretion without assigning any reason thereof.
You are responsible for maintaining the confidentiality of your User ID and Password. You are responsible for all activities that occur under your User ID and Password. You agree, inter alia, to:
If you provide any information that is untrue, inaccurate, not current, or incomplete, or if StudyHQ has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this Agreement, StudyHQ has the right to indefinitely suspend, terminate or block access to your registration with the website.
StudyHQ shall not be liable for any loss or damage arising from your failure to comply with this Clause.
When you use the Website or send emails or other data, information or communication to StudyHQ, you agree and understand that you are communicating with StudyHQ through electronic records. You consent to receive communications from us electronically.
We will communicate with you by email, SMS, WhatsApp, or by posting notices on the Website or through any other StudyHQ service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.
StudyHQ is a technology-enabled career discovery and guidance platform for students, parents, and educational institutions. We leverage psychometric assessments, AI-assisted guidance (including our AI assistant Bixa), a curated learning and preparation library (Drona), and expert counselling to help users make informed career decisions.
Our services are not limited to psychometric assessments, career counselling and guidance, stream and course recommendations, college shortlisting, study abroad guidance, Statement of Purpose (SOP) assistance, scholarship guidance, progress tracking, and project-based extracurricular programmes, as may be provided from time to time.
By entering into the present agreement, you accept that you are using the services rendered at StudyHQ at your sole discretion, without any undue influence from StudyHQ, and at your sole responsibility (under the supervision of a guardian in the case of minors).
You further agree to ensure that you avail the services with due care and due diligence and as per the terms and conditions of this EULA and the respective service you are availing.
StudyHQ provides guidance and support tools, but final decisions regarding career, education, college, or any other matter always remain with the User. StudyHQ does not guarantee outcomes such as admissions, placements, examination results, scholarship awards, or career success.
StudyHQ shall charge fees for the services provided as per the structure published on the Website. By using the services which are subject to payment, you accept to pay for the same before using the services.
You further undertake not to raise any dispute regarding the fee charged for the services in any manner whatsoever, as you have agreed to the same out of free will and without any undue influence.
You further undertake that you have read the Terms and Conditions of the Payment that are prompted when you move towards payment of the paid services and have accepted the same before making the payment.
StudyHQ uses third-party payment providers (including but not limited to Razorpay) to receive payments from users. StudyHQ is not responsible for delays, erroneous transaction execution, or cancellation of orders due to payment issues at the third-party provider's end. StudyHQ takes utmost care to work with trusted third-party payment providers but does not control their systems, processes, technology, and workflows, and therefore cannot be held responsible for any fault at the end of payment providers.
The fees to be charged by StudyHQ from users shall be decided solely by StudyHQ, and the users shall have no right or say to interfere in the same. StudyHQ reserves the right to revise pricing at any time, provided that existing active subscriptions shall be honoured at the originally agreed price until the end of their current term.
You agree to bear all applicable taxes, charges, and cess levied on the services being rendered to you as notified by the Central or State Government from time to time, unless already included in the price offered. Goods and Services Tax (GST) shall be applied as per prevailing rates.
StudyHQ operates on a strict no-refund policy. The services we render, including but not limited to career assessments, psychometric evaluations, counselling sessions, career reports, roadmaps, Statement of Purpose (SOP) assistance, scholarship guidance, and access to our AI assistant Bixa and learning library Drona, act as bona fide guidance to the User and are rendered as soon as availed. Therefore, there is no provision for the refund of fees paid by the User.
The User is deemed to have understood and accepted that once the fee is paid to StudyHQ for the services availed, there shall be no refund of the said fees under any circumstances. This includes, without limitation, cases where:
Subscriptions are non-transferable between users or student profiles. A subscription purchased for one student cannot be used by another student, including siblings. Parents with multiple children must purchase separate subscriptions for each child.
Narrow exceptions: The only exceptions to the above no-refund policy are:
In all exception cases, the User must contact [email protected] within seven (7) days of the payment with relevant order details and proof. Refund requests beyond this window will not be entertained.
Chargebacks initiated by the User through their bank or card provider in violation of this policy will be contested by StudyHQ with relevant documentation, and may result in immediate termination of the User's account.
For institutional contracts (schools, colleges, coaching centres), refund terms are governed by the specific terms recorded in the signed agreement between StudyHQ and the institution, and not by this clause.
There shall be no contract between StudyHQ and the User until the services are availed by the User against consideration. Access to the free portion of the Website is only for the welfare of the User and does not give rise to any contract between the User and StudyHQ in any manner.
The contract against consideration for the services shall be strictly in terms of the services availed and shall end as soon as the services are rendered or the subscription term expires, whichever is earlier.
StudyHQ is entitled to terminate the contract at all times and with immediate effect (by disabling your use of the Website and the Service) if you:
StudyHQ is not obliged to give prior notice of the termination of the contract.
StudyHQ alone (and its licensors, where applicable) shall own all right, title and interest, including all intellectual property rights, in and to the Website and Service and any suggestions, ideas, enhancement requests, feedback, recommendations, or other information provided by you or any other party relating to the Website or the Service. This includes but is not limited to the StudyHQ name, logo, Bixa AI assistant, Drona learning library, psychometric assessment frameworks, career reports, and all proprietary content and methodologies.
You may not use, copy, adapt, modify, create derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, reproduce, transmit, stream, broadcast or otherwise exploit the Website, Service, or any content therein, except as expressly permitted in this EULA. You may not use any content without first obtaining the written consent of StudyHQ.
No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by StudyHQ or its licensors, except for the licenses and rights expressly granted in this Agreement.
This EULA does not constitute a sale and does not convey to you any rights of ownership in or related to the Website, or any intellectual property rights owned by StudyHQ. The StudyHQ name, logo, and the product names associated with the Website and the Service (including Bixa and Drona) are trademarks of StudyHQ Consultants LLP, its affiliated companies, or third parties, and no right or license is granted to use them.
Subject to your compliance with this EULA, StudyHQ grants you a limited, non-exclusive, non-transferable license for the personal and non-commercial use of the Website.
You shall not engage in any of the following activities:
StudyHQ reserves the right, at any time and without prior notice, to remove or disable access to any content that StudyHQ, at its sole discretion, considers to be in violation of these Terms or otherwise harmful to the Website or Service.
In accordance with the Information Technology (Intermediaries Guidelines) Rules, 2011 and further guidelines as may be issued by the appropriate government from time to time, in case of non-compliance with rules and regulations, user agreement, and privacy policy, the Intermediary has the right to immediately terminate the access or usage rights of the Users to the computer resources of the Intermediary and remove non-compliant information.
You warrant that the information you provide to StudyHQ is accurate and complete. StudyHQ is entitled at all times to verify the information that you have provided and to refuse the Service or use of the Website without providing reasons.
You agree and undertake that you shall not host, display, upload, modify, publish, transmit, update, or share any information that:
Without limiting other remedies, StudyHQ may limit your activity, immediately remove your information or end your registration, warn other users of your actions, temporarily or indefinitely suspend or terminate your membership, and refuse to provide you with access to the Website in the event of the following activities (among others):
Users who have been suspended or blocked may not register or attempt to register with StudyHQ or use the Website in any manner whatsoever until such time that the User is permitted to do so by StudyHQ.
If you breach this EULA, StudyHQ reserves the right to forfeit money paid by you to StudyHQ and to take strict legal action, including but not limited to referral to the appropriate police or other authorities for initiating criminal or other proceedings against you.
StudyHQ reserves the right to temporarily or indefinitely suspend or terminate your registration and refuse to provide you with access to all current and future use of the Website at its sole discretion, which shall not be termed as deficiency in service in any manner as per law. The User hereby expressly waives the right to call in question any such suspension or termination of services by StudyHQ.
Further, StudyHQ reserves its right to suspend the operation of the Website for updation, repair, technical fault, or any other reason, for which it shall not be liable in any manner, including for deficiency of service under applicable laws.
You confirm that you shall be responsible for any damage that may be caused to StudyHQ for wrongful use of the Website or its content by you, including but not limited to intellectual property violations or breach of the terms of this EULA.
By accepting this EULA and using the Website or Service, you agree that you shall defend, indemnify, and hold StudyHQ, its affiliates, partners, shareholders, officers, directors, agents, and employees harmless from any losses, liabilities, damages, costs, and expenses, claim or demand, or actions including reasonable attorneys' fees asserted against or incurred by StudyHQ, made by any third party arising out of or in connection with:
The information, recommendations, and services provided to you on or through the Website are for general information purposes only as bona fide guidance and do not constitute any commitment of performance in any manner. StudyHQ does not guarantee the accuracy or outcomes of any recommendations, including but not limited to career recommendations, course selections, college admissions, scholarship awards, or examination results.
StudyHQ will reasonably keep the site and its contents correct and up to date but does not guarantee that the contents of the Website are free of errors, defects, malware, or viruses, or that the contents are correct, up to date, or accurate at all times.
StudyHQ endeavours to render the utmost quality of the services rendered, however shall not be liable in any manner for any interruption in service for any reason whatsoever.
StudyHQ may permit advertisements of third parties on the Website and shall not be responsible for the contents, assurances, or services of any such third-party advertisement in any manner whatsoever.
In no event shall StudyHQ be liable for an amount more than that received by StudyHQ from the complainant User for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for non-admission, loss of goodwill, use, data, or other intangible losses arising out of or in connection with the Website, its services, or this Agreement (however arising, including negligence).
StudyHQ assumes no liability whatsoever for any monetary or other damage suffered by you on account of:
You are prohibited from engaging in direct or indirect communication with counsellors or consultants of StudyHQ except for the purposes of the services availed by you.
StudyHQ intermediates the communication between users and counsellors, which shall be limited to the purposes of the service availed. StudyHQ shall not be responsible for any communication between the user and the counsellor beyond the scope of the services availed.
Violations of this policy may result in a range of actions, including cancellation of your registration, limits on account privileges, account suspension, compensation for breach of duty, or other proceedings as the law may prescribe.
StudyHQ may give notice by means of a general notice on the Website, or by electronic mail to your email address on record in StudyHQ's account information, or by written communication sent by regular mail to your address on record.
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically shall be deemed adequate service of notice and satisfy any legal requirement that such communication be in writing in terms of the present EULA.
StudyHQ is always open to the suggestions of users and shall endeavour to consider all such suggestions that may enhance the utility of the Website for the benefit of users as well as StudyHQ.
However, StudyHQ is not bound by such suggestions in any manner whatsoever.
The parties shall attempt that in the event of any dispute between them during your use of the Website or thereafter, in connection with the validity, interpretation, implementation, or alleged breach of any provision of this EULA or the documents they incorporate by reference, the dispute is settled by mutual discussion in the first instance.
In the event of failure of such discussion, the dispute shall be referred to a sole Arbitrator, who shall be an independent and neutral third party appointed by StudyHQ. The place of arbitration shall be Hyderabad, Telangana, India. The arbitration proceedings shall be conducted in the English language and shall be governed by the Arbitration and Conciliation Act, 1996.
For any dispute arising out of the present Agreement, only the Courts at Hyderabad, Telangana, India shall have jurisdiction, and you undertake not to raise any challenge to this jurisdiction clause in any manner and accept the jurisdiction of the Courts at Hyderabad.
If any clause of this Agreement shall be deemed invalid, void, or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the Agreement.
Assignment: You cannot assign or otherwise transfer this Agreement or any rights granted hereunder to any third party. StudyHQ may transfer its rights and obligations (also known as “assign”) under this Agreement without your prior express consent, provided that StudyHQ assigns the Agreement on the same terms or terms that are no less advantageous to you.
Legal Advice: You undertake that you had every opportunity to take legal opinion on the present Agreement and have understood the legal implications of every clause before agreeing to the same in totality and using the Website.
